Terms of Use and Legal Information
This web page states the “Terms of Use” for the Parenteral Drug Association Workspace at http://workspace.pda.org. These Terms of Use combined with the general Terms of Use for the PDA website (the “PDA Site”) at www.pda.org (the “General Terms of Use”) govern your use of the PDA Workspace. To the extent that any terms set forth in the General Terms of Use contradict any these Terms of Use, such contradictory terms set forth in these Terms of Use shall govern. Please read the following Terms of Use before accessing or using the PDA Workspace.
ACCEPTANCE OF TERMS
By accessing or using the PDA Workspace in any way, including each time you post any Contribution (as defined below) or merely browsing the PDA Workspace, you agree to and are bound by the Terms of Use set forth in this document and in any changes thereto that PDA may publish from time to time. The terms “you”, “your” and “user” are used to refer to anyone who is accessing the Site
If you do not agree to these Terms of Use, do not access or use the PDA Workspace.
PDA may change the Terms of Use, other guidelines and rules posted on the PDA Workspace, and the General Terms of Use from time to time at its sole discretion. Your continued access or use of the PDA Workspace constitutes your acceptance of the changes. PDA has the right to terminate your authorization to access or use the PDA Workspace, if you breach these Terms of Use or the General Terms of Use.
COPYRIGHT
In consideration of PDA taking action to review and/or edit your Contribution and consider it for publication independently or as part of a collective work, you automatically transfer and assign to PDA upon submission to PDA, all right, title, and interest in copyright, and all of the rights and all remedies afforded by law, throughout the world in and to your Contribution and any revisions thereof prepared and submitted by you, including without limitation the right to register the copyright in your Contribution in the name of PDA and the exclusive right to reproduce, publish, republish, prepare all foreign language translations and other derivative works, distribute, sell, license, transfer, transmit, and publicly display copies of, and otherwise use the Contribution, in whole or in part, alone or in compilations, in all formats and media and by any method, device or process, and through any channels, now known or later conceived or developed; and the exclusive right to license or otherwise authorize others to do all of the foregoing, and the right to assign and transfer the rights granted hereunder. To the extent that any right now or in the future existing under copyright is not specifically granted to PDA by the terms of this Agreement, such right shall be deemed to have been granted hereunder. You represent and warrant that you are the sole author of your Contribution (except for copyrighted material owned by others for which written permission has been obtained). “Contribution” means any materials or content that you submit to PDA via the PDA Workspace.
Permissions
If your Contribution contains copyrighted material (text or graphic) owned by others, then you shall obtain written permission from the copyright owner, in a form and scope acceptable to PDA, to include and reproduce such copyrighted material in the Contribution. You shall deliver all written permissions to PDA together with your Contribution. Delivery of all required written permissions is a condition of publication of your Contribution.
Credit; Use Of Name and Likeness
Individuals who can be identified as having written significant sections of any Contribution may be identified as “authors,” and individuals who provided consultation, but did not participate in any significant way in the writing of the Contribution, may be listed as “contributors. Others who provided recognizable input may be designated as “other contributors.” The form and placement of any credit will be determined in the sole discretion of PDA. You hereby grant PDA the right to use your name, likeness, biographical information, and professional credits on copies of any works that include your Contribution and in connection with the exercise of any other rights granted to PDA hereunder and in advertising, marketing, and promotion in connection therewith, and to grant such rights to the publisher and its licensees or assigns.
CONFIDENTIALITY
You agree not disclose or cause to be disclosed to anyone outside of PDA, its Board, committees, staff, or other volunteers, any confidential information related to PDA or its technical reports disclosed to you while using the PDA Workspace, unless otherwise directed by PDA. This restriction shall apply at all times and in any circumstance during your use of the PDA Workspace as volunteer with PDA and for a period of two (2) years after your volunteer work with PDA has concluded.
CONFLICTS OF INTEREST
In using the PDA Workspace, you agree not engage in actions, discussions, or voting which may constitute an actual, apparent, or potential conflict of interest with your participation as a volunteer of PDA. You agree to disclose to PDA any such conflicts of interest and any business, financial, or organizational interests and affiliations which are or could be construed to be a conflict of interest.
GENERAL
These Terms of Use, the General Terms of Use, and other rules, guidelines, licenses and disclaimers posted via the PDA Workspace constitute the entire agreement between PDA and you with respect to your access to or use of the PDA Workspace superseding any prior agreements between you and PDA on such subject matter (including any prior versions of the Terms of Use or General Terms of Use).
